General Terms and Conditions
###Impact Hub Member Service License Agreement - MEMBERSHIP TERMS AND CONDITIONS
This Impact Hub Member Service License Agreement - Membership Terms and Conditions (“Terms”) are entered into between You (hereafter “Member” or “Licensee”) and Mission Hub LLC (hereafter “The Company” or “Licensor”), located at 1885 Mission Street, San Francisco, CA 94103, and govern Your application and membership with The Company. Please read these Terms carefully before submitting Your application. Feel free to contact us at email@example.com with any questions regarding these terms.
####DEFINITIONS “We”, “Our” “Us” or “The Company” means Mission Hub LLC. See ‘Relationship to Impact Hub’ below.
‘Member’, ‘You’ and ‘Your’ means an individual, organization, partnership or legal entity of any form who accepts the terms of this agreement through participation in any of the Services provided by The Company.
‘Servicesʼ refers to the provision of services set out in the Membership Package
‘Membership Packageʼ refers to the online document that specifies the current prices and hours per month that are set out in Your online Membership Account.
‘Membership Account’ refers to the online presence of Your own Membership Package and is hosted at Our website or at an alternative website to be advised from time to time.
‘Community Guidelines’ refers to the house rules and values of the Mission Hub Community and the conditions set out in the Community Guidelines clause of this Agreement.
‘Impact Hub Association’ is a network of member Impact Hubs, including The Company, and is registered as Verein zur Förderung sozialer Innovationen, a charitable association, established and registered in Vienna, Austria under ZVR 449698901, Lindengasse 56/18-19, 1070 Vienna, Austria.
####Acceptance of Terms The services The Company provides to You are subject to the following Terms and Conditions (“Terms”). By submitting an application for membership with The Company or by using the services provided by The Company, You accept these Terms. The Company reserves the right to update these Terms at any time. The Company will attempt to contact You to notify You of any updates in advance of their enactment using the contact information provided in Your application.
####Mission Hub LLC (“The Company”) Relationship to Impact Hub The Company operates two separate business lines, one of which is operated under the name Impact Hub, and is the subject of this Member Service License Agreement. The name Impact Hub is a licensed trademark, name and service. The Company has been granted the rights to operate the Impact Hub trademark and service by Impact Hub Global GmbH which is part of the Impact Hub Association. The Company currently offers the Impact Hub services governed by this Member Service License Agreement in specific locations (each of them referred as to the Location), under license from Impact Hub Global GmbH. The Company is licensed to manage four Impact Hub locations: in San Francisco (referred as to Impact Hub San Francisco), Berkeley (referred as to Impact Hub Berkeley), New York City (referred as to Impact Hub NYC), and Washington DC (referred as to Impact Hub DC).
####Impact Hub Vision, Values & Mission The Company’s Impact Hub Locations share common core vision, values and mission: Impact Hub is a membership community of entrepreneurial innovators who are creating positive impact. Our local community includes a diverse mix of local entrepreneurs, startups, investors, creatives, and professionals who work and lead across a wide range of sectors. Impact Hub provides Our membership community with critical resources to accelerate success including: a culture of impact, community networking, workspace, meeting space, curated events and programming.
The Company, through its Impact Hub license, is a member of the Hub Association network of Impact Hub communities around the world. ‘Impact Hub Association’ is a network of member Impact Hubs and includes The Company. Impact Hub Association, its member Impact Hubs and Impact Hub Company together constitute, build and cultivate the global Impact Hub Network. The shared intent of the network is to grow a locally rooted, globally connected community for measurable positive impact. Around the world the Impact Hub Association seeks to inspire, connect and enable people to take entrepreneurial action in order to pioneer a just and sustainable world where business and profit are used in service of people and planet. The network provides to its members in various places of the world flexible access to highly resourced spaces for working, meeting, learning, innovating and connecting. The know-how built up within the network associated with these practices is freely shared amongst all Impact Hubs in the network and freely contributed to by them. The core values of the Impact Hub network are trust, collaboration and courage, and these are fully endorsed and supported by The Company.
####Community Guidelines You agree to work with Your best endeavours according to the core values set out in The Company Vision Mission and Values clause and the spirit of The Company in behaviors that enable cooperative, constructive and collaborative relations between You and other Members and between You and The Company.
You agree that You will not perform any activity that is reasonably likely to be disruptive, damaging or dangerous to other Members, their guests, their personal property or to The Company employees, the Premises or The Company property. The Company reserves the right to charge You for the repair cost for any damage caused by You or Your guests to the Premises or any furniture or equipment within the Premises.
As a licensed premises, The Company has a statutory obligation to ensure that all Members comply with the The Company licensing objectives set out in the Membership Package. You agree to comply with these and to provide such assistance and cooperation to The Company hosts in upholding the licensing objectives.
####Guests and Visitors A guest is defined as person invited to an Impact Hub location by an Impact Hub Member. Unless otherwise stated at individual Impact Hub Locations, Members may host up to two guests at any one time for up to two hours at a time and recurring guests have a maximum of five visits per month during normal hours of operation. Guests wishing to remain after hours must be approved by Impact Hub Staff and be accompanied by an Impact Hub Member. Members may host an unlimited number of guests during a month within these parameters. Additional guests (beyond 2) should purchase day passes regardless of length of stay and/or book a meeting room. It is the Member's responsibility to insure their guests have purchased day passes if they exceed the permitted time in the space. If an individual guest visits the space more than five times in a month, they must purchase day passes and/or sign up for membership. This policy refers to use of the open coworking space. Members are free to host as many guests as they want if a conference room is rented (provided occupancy guidelines) or if guests are hosted in offices.
All guests must adhere to the Terms and Conditions of Membership. Guests must remain in the immediate company of their hosting Member at all times and Members are responsible for the actions of their guests and observance of The Company's Policies. All guests must be announced and properly signed-in with The Company each time they arrive. Guests may be denied entry or removed at The Company's discretion and guests who return excessively as determined by The Company may be required to purchase a Membership themselves.
####Description of Services Each Location layout varies from city to city, but each Location is designed for programming/event space, community collaboration, and functional work and meeting space (with wifi, shared kitchens, printing, phone booths and meeting rooms). Access to the Impact Hub Location and services described herein (“Services”) will vary according to what membership package You purchase, and the assigned Location. Assigned Location means the specific Impact Hub Location You select during the application process. ####Membership Fees and Payments By signing up for an account and providing Your payment information, You agree to pay all fees as displayed to You at the time You create Your account. Memberships run from the 28th of a given month to the 27th of the following month. Prorated fees are calculated to the 28th. As a courtesy, The Company will allow Members to complete their final month on the last day of that month. Membership fees are due in advance, no later than the 28th of the month preceding that for which You are paying and will be billed monthly (unless otherwise agreed upon) until canceled, and are non-refundable and non-transferrable. A valid credit or debit card as well as authorization for automatic, recurring payments (or Autopay) are required for Impact Hub Membership. In limited cases, upon request, The Company will consider other forms of payment (including ACHs on checking accounts from a US banking institution, etc.).
You acknowledge and agree that the payment instrument provided by You will be automatically charged the fees and any other amounts You may incur or be liable for (including for damages caused to any of Our locations or property) in connection with Your Impact Hub Member Service License agreement. Your use of the services may be immediately suspended if We are unable to charge such payment instrument for any reason. The fees applicable to Your account may be subject to modification by The Company from time to time pursuant to notice provided by us at least thirty (30) days in advance of the payment date for which the modification would be effective. Your continued use of the services following such notice and through the payment date constitutes Your agreement to such modified fees. You may at any time cancel Your account if You do not agree to any modified fees. All fees must be paid in U.S. Dollars and are non-refundable, except that pre-paid fees shall be refunded on a pro-rated basis solely in the event that We discontinue the Impact Hub Service prior to the end of Your pre-paid subscription period. You may review the current fees for each membership package on Your Impact Hub Location’s website.
####Automatic Renewal, Invoicing and Additional Fees Membership is automatically renewed near the end of each month (or year if You purchased an annual membership) unless cancelled. Should You choose to pay on a monthly basis, You will be automatically invoiced monthly, in advance, based on Your membership subscription. Should You arrange with The Company to pay for Your membership annually, or quarterly, You will be automatically invoiced annually or quarterly, in advance, based on Your membership type. Depending on additional services used, Your invoice will include any adjustable charges (such as fees for conference room usage or printing services), that may have been incurred during the previous payment period, or any other fee. Some Impact Hub Locations may require an additional, one-time Fee for Access Card activation which will be added to Your first invoice.
The Fees applicable to Your account may be subject to modification from time to time pursuant to notice provided by us at least thirty (30) days in advance of the date on which Your membership renews (“Renewal Date”). Your continued use of the services following such notice and through the Renewal Date constitutes Your agreement to such modified fees. You may at any time cancel Your account if You do not agree to any modified fees. All fees must be paid in U.S. Dollars and are non-refundable, except for those prepaid fees that shall be refunded on a prorated basis solely in the event that We discontinue the Impact Hub service prior to the end of Your pre-paid subscription period.
####Membership Upgrade, Cancellation and Deferral Upgrading Membership: You may upgrade Your membership at any time. You can do this by logging into Your member portal, selecting ‘Price Plans’ from the upper right drop-down menu and selecting Your new price plan. All changes will go into effect the following month.
Canceling/Downgrading Membership: You may cancel or downgrade Your membership for the following month any time before the 28th day of the month by logging into Your member portal. All membership changes made before the 28th day of the month will go into effect the following month. Changes made after the 28th day will impact the month after the subsequent month. Please note: Any members (excluding Community Level) who have pre-paid for the year and would like to either downgrade or cancel their membership will receive a pro-rated refund of their Fees minus a $500.00 termination fee.
Deferring membership: Annual pre-paid members may defer their membership for one-month during their one-year term. Please contact firstname.lastname@example.org as well as your local Host team to request a deferment.
####Meeting Rooms Meeting room bookings: You may reserve a meeting room at any Impact Hub Location upon availability using the Impact Hub member portal. Meeting rooms can be booked up until the time of use pending availability. Meeting rooms booked outside of normal business hours may require staff assistance.
Meeting room cancellations: Meeting rooms can be cancelled up to 24 hours in advance without fees. If meeting room is cancelled within 24 hours of the booking, member will be charged a $5 processing fee on their invoice.
####No Tenancy Your payment of Fees is solely in exchange for a pre-paid usage license for the Services consistent with these Terms and in no respect creates a tenancy between You and The Company. The Member License Agreement with The Company does not constitute a lease, but is rather a license between The Company and Member for monthly licensing of a given set of services delineated in Your Membership package. The Company may terminate this license at any time and for any reason, provided they refund any amounts as per this Member Service License Agreement. There is no long-term agreement under this license.
The Company has a valid, up-to-date Certificate of Occupancy for the work, meeting, and gathering spaces that our members use. Certificates of Occupancy confirm that we’re using the space of lawful purposes and that the space meets building code requirements. Full-time members with a dedicated desk or office and at least a 12-month membership term may request a copy of our Certificate of Occupancy if it’s required for a legitimate business purpose (e.g., banking, grant applications, etc).
####Membership Qualifications You represent that You are qualified to seek membership to Impact Hub Member Service License. Membership qualifications include:
- Confirmation that You are above the age of 21.
- Confirmation that You will provide us with complete and accurate information about Yourself on Your application, and throughout Your membership.
- Confirmation, should You choose to associate Yourself with an organization on Your application, that You are not falsely representing Your involvement with said organization, impersonating any third party, or otherwise submitting any false or misleading information. Furthermore, You confirm in the event that Your relationship with the aforementioned organization should end, You will promptly (before to Your next pay period) update Your profile to reflect such a change.
- Confirmation that You, and only You, will use Your membership account information, password, and Impact Hub Location and community center access. Furthermore, You confirm that You will notify us should You suspect Your password or Impact Hub Location access device has been compromised.
- Confirmation that You have all requisite legal power and authority to enter into and abide by the terms and conditions of this Terms of Service and no further authorization or approval is necessary.
####No Unlawful or Prohibited Use As a condition of Your use of the Services, You will not use the Services for any purpose that is unlawful or prohibited by these Terms. You may not use the Services in any manner that could damage, disable, overburden, or impair any Impact Hub Location server, or the network(s) connected to any Impact Hub Location server, or interfere with any other party’s use and enjoyment of any Services. You may not attempt to gain unauthorized access to any space, Services, or accounts, computer systems or networks connected to any Impact Hub Location server or to any of the Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services. You hereby represent and warrant that You have all requisite legal power and authority to enter into and abide by these Terms and no further authorization or approval is necessary. You further represent and warrant that Your participation or use of the Services will not conflict with or result in any breach of any license, contract, agreement or other instrument or obligation to which You are a party.
####Use of Services You agree that when participating in or using the Services, You will not:
- Use the Services in connection with contests, pyramid schemes, chain letters, junk email, spamming or any duplicative or unsolicited messages (commercial or otherwise);
- Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others;
- Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information on or through Impact Hub Services;
- Upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws, including, by way of example, and not as limitation, copyright or trademark laws (or by rights of privacy or publicity) unless You own or control the rights thereto or have received all necessary consent to do the same;
- Use any material or information, including images or photographs, which are made available through the Services in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party;
- Use the “Impact Hub” name, trademarks, logos, or likeness without Our prior written consent;
- Upload files that contain viruses, Trojan Horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another’s computer or property of another;
- Download any file(s) that You know, or reasonably should know, cannot be legally reproduced, displayed, performed, and/or distributed in such manner;
- Restrict or inhibit any other user from using and enjoying the Services;
- Violate any code of conduct of other guidelines which may be applicable for any particular Service (including the local Impact Hub building rules) and which may be posted or made available by the Impact Hub Location from time to time;
- Harvest or otherwise collect information about others, including email addresses, without the authorization or consent of the disclosing party;
- Violate any applicable laws or regulations; or
- Create a false identity for the purpose of misleading others.
####Disclosure of Your Personal Information The Company reserves the right to disclose Your personal information, without prior notice to You, as required by law or when We believe that disclosure is necessary to comply with a law, regulation, or any legal request (e.g. court order or subpoena) served on The Company. Furthermore, We may share Your personal information when We believe it is necessary to address fraud or other illegal or activity prohibited under these Terms perpetrated through the Services, or to prevent imminent bodily harm. However, nothing in these Terms are intended to limit any legal defenses or objections that You may have to a third party’s, including a government’s, request to disclose Your information.
The Company uses Your personal information primarily for processing Your membership application, providing You the services included in membership, and processing Your payments.
####Photo & Video Release The Company reserves the right to photograph and video record the activities of Our Impact Hub Locations, and to further transmit, use, copy, publish, copyright, distribute, and display photographic portraits, photographic likenesses, or pictures, or video recordings in connection with exhibitions, publicity, advertising, educational, and promotional materials, including broadcast over the Internet or television or similar media without reservation or limitation. Members may be included in the video broadcasts, portraits, or photographic likenesses or pictures in whole or in part, in composite or distorted form, with or without name, in color or otherwise, made through any medium.
####Disclaimer of Warranties To the maximum extent permitted by applicable law, The Company provides the Services “as is” and with all faults, and hereby disclaim with respect to the services all warranties and conditions, whether express, implied or statutory, including, but not limited to, any (if any) warranties, duties or conditions of or related to: merchantability, fitness for a particular purpose, lack of viruses, accuracy or completeness of responses, results, workmanlike effort and lack of negligence. Also, there is no warranty, duty or condition of title, quiet enjoyment, quiet possession, correspondence to description or non-infringement. The entire risk as to the quality, or arising out of participation in or the use of the services, remains with You.
####Exclusion of Incidental, Consequential and Certain Other Damages To the maximum extent permitted by applicable law, in no event shall The Company or its subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present and future officers, agents, shareholders, members, representatives, employees, successors and assigns, jointly or individually be liable for any direct, special, incidental, indirect, punitive, consequential or other damages whatsoever (including, but not limited to, damages for: loss of profits, loss of confidential or other information, business interruption, personal injury, loss of privacy, failure to meet any duty (including of good faith or of reasonable care), negligence, and any other pecuniary or other loss whatsoever) arising out of or in any way related to the participation in or inability to participate in or use of the services, the provision of or failure to provide services, or otherwise under or in connection with any provision of this agreement, even in the event of the fault, tort (including negligence), strict liability, breach of contract or breach of warranty of The Company, and even if The Company has been advised of the possibility of such damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability, for consequential or incidental damages, the above limitation may not apply to You.
####Limitation of Liability and Remedies Notwithstanding any damages that You might incur for any reason whatsoever (including, without limitation, all damages referenced above and all direct or general damages), the entire liability of The Company or its subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present and future officers, agents, shareholders, members, representatives, employees, successors and assigns under any provision of these Terms and Your exclusive remedy for all of the foregoing shall be limited to actual damages incurred by You based on reasonable reliance up to the amounts paid by You in Fees in the previous calendar year. The foregoing limitations, exclusions and disclaimers shall apply to the maximum extent permitted by applicable law, even if any remedy fails its essential purpose.
####Termination The Company reserves the right to terminate any Service at any time. The Company further reserves the right to terminate Your participation in and use of any Services, immediately and without notice, if You fail to comply with the Terms. In the event The Company terminates Your membership, and You have purchased a pre-paid annual membership, We will refund to You the remaining pro-rated portion of Your pre-paid membership fee minus a $500.00 termination fee.
####Indemnification You release, and hereby agree to indemnify, defend and hold harmless The Company and The Company’s subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present and future officers, agents, shareholders, members, representatives, employees, successors and assigns, jointly and individually, from and against all claims, liabilities, losses, damages, costs, expenses, judgments, fines and penalties based upon or arising out of Your negligent actions, errors and omissions, willful misconduct and fraud in connection with the participation in or use of the Services. You further agree in the event that You bring a claim or lawsuit in violation of this agreement, You shall be liable for any attorneys’ fees and costs incurred by The Company or its respective officers and agents in connection with the defense of such claim or lawsuit.
####Severability In the event that any provision or portion of these Terms is determined to be invalid, illegal or unenforceable for any reason, in whole or in part, the remaining provisions of these Terms shall be unaffected thereby and shall remain in full force and effect to the fullest extent permitted by applicable law.
####Choice of Law and Arbitration These Terms will be governed by and interpreted according to the laws of the State of California.
####Insurance, Your Personal Property and Use of Our Services The Company will carry Liability and Business Personal Property insurance. As a member, it is strongly suggested that You carry Your own personal insurance policy to cover Your own equipment while using Our space. That policy may cover Your current residence/office, as well as the premises of The Company.
You acknowledge that You are participating in and/or using The Company’s services at Your own free will and decision. You acknowledge that The Company does not have any liability with respect to Your access, participation in, use of the services, or any loss of information resulting from such participation or use, and carries no responsibility any property You or anyone else may leave at The Company or in one of the Location’s lockers, mailboxes or any other area. The Company does not have liability for the actions of Our members. We do not endorse, support or verify the facts, opinions or recommendations of Our members. We assume no responsibility for any personal property left at the Location premise.
I hereby acknowledge that I have read and understand these Terms. I understand that my application and membership with The Company will be governed by these Terms.
